WP Engine Affiliate Program Terms and Conditions

These WP Engine Affiliate Program Terms (“Agreement”) contain the complete terms and conditions that apply to your participation as an affiliate in the WP Engine Affiliate Program. The Agreement establishes guidelines for linking to www.wpengine.com, www.studiopress.com, or other designated websites owned by WP Engine (each a “Site”). “We”, “us”, or “WP Engine” refers to WPEngine, Inc., while “you” or “your” refers to the applicant or affiliate.

IMPORTANT: This is a legal agreement between you and WP Engine. By submitting your application, you affirmatively state that you have read, understood, and accepted this Agreement. You agree to be bound by its terms as well as the Affiliate Service Agreement required by ShareASale.com, Inc. or any other affiliate administrator utilized by WP Engine.

1. Enrollment in the WP Engine Affiliate Program

To begin enrollment, submit a completed affiliate application via our affiliate network, administered by ShareASale (“Affiliate Network”). If your application is approved, you’ll receive your affiliate code and referral links. We reserve the right to reject any application at our sole discretion.

2. Using Our Links

A “Link” refers to a hyperlink to the Site, which can be copied and pasted from your affiliate administration area on the Affiliate Network. If altered after copying, tracking may not function correctly.

	•	Available Resources: We may provide banners, button links, or text links containing the WP Engine logo.
	•	Responsibilities: You are responsible for maintaining these links on your Affiliate Site (including your website, social media, email, or any other promotional medium).
	•	Limitations: Links may not be placed on third-party newsgroups, message boards, or unsolicited email (spam) without WP Engine’s written consent.

You must include an affiliate disclosure on pages where WP Engine affiliate links are used. This disclosure must include:

	•	Links on your site may be affiliate links.
	•	You may earn commissions from links on your Affiliate Site.

3. Order Processing

We will process orders made by customers who follow links from your Affiliate Site to ours. WP Engine reserves the right to reject any orders that don’t meet our requirements. Order processing and fulfillment, including payment processing and customer service, are WP Engine’s responsibility. We will track and provide unaudited sales reports through your affiliate account on our Affiliate Network.

4. Commissions

Commissions are paid on trackable sales at www.wpengine.com (“WP Engine Commission Rate”). Commissions are paid for referred paying customers who maintain a subscription beyond 62 days. There are no additional commissions for continued subscriptions or renewals.

Changes: The Commission Rate is subject to change, and you will be notified by email. Commissions may be reduced for fraud, cancellations, or credits for returned goods. Creating accounts using your affiliate links will void all your commissions, and further action may be taken, including criminal charges for fraud.

5. Commission Payment

Commission payments are made as outlined in Section 4. All payments are made via the options available in the affiliate administration section of our Affiliate Network. You are solely responsible for all tax obligations.

Important: No commission will be paid if you violate this Agreement or applicable law.

6. Sales Reports & Audits

You can run reports showing orders you referred through the Affiliate Network. WP Engine reserves the right to inspect and audit your records and Affiliate Site, with ten (10) days’ prior notice, to ensure compliance with this Agreement.

7. Policies and Pricing

Customers who click on your affiliate links will be considered WP Engine customers, subject to WP Engine’s policies. WP Engine reserves the right to change prices or policies at any time.

8. License and Use of WP Engine Logos and Trademarks

We grant you a non-exclusive, non-transferable, revocable right to:

	•	Access our Sites through links as outlined in this Agreement.
	•	Use our logos and trademarks (collectively, “WP Engine Marks”) for promoting services on your Affiliate Site, per WP Engine guidelines.

You may not alter WP Engine Marks, nor advertise using WP Engine trademarks or similar terms without prior written approval.

9. Publicity, Email, and Spam Policies

Email advertising is subject to approval, and WP Engine prohibits spam or unsolicited emails. Affiliates must comply with all federal and state laws regarding email marketing.

10. Responsibility for Your Site

You are solely responsible for your site’s development, operation, maintenance, and compliance with laws, including privacy and copyright. You must disclose any material relationship with WP Engine and comply with FTC guidelines.

Affiliate Sites must not:

	•	Contain unlawful, defamatory, offensive, or misleading content.
	•	Promote illegal activities, copyright infringement, or the exploitation of minors.

Any violation may result in termination from the Affiliate Program and forfeiture of commissions.

11. Term of the Agreement

This Agreement begins upon acceptance of your application and ends when terminated by either party. Upon termination, you may no longer use WP Engine Marks or link to the Site. If terminated for breach, commissions will not be paid.

12. Modification

WP Engine may modify this Agreement at any time. Notice will be given by email or posted online, and changes take effect 48 hours after notice.

13. Relationship of Parties

You and WP Engine are independent contractors, and nothing in this Agreement establishes a partnership or agency relationship.

14. Limitation of Liability

WP Engine is not liable for any direct, indirect, incidental, or consequential damages arising from this Agreement.

15. Disclaimers

WP Engine makes no express or implied warranties regarding the Affiliate Program, including warranties of merchantability or fitness for a particular purpose.

16. Representations and Warranties

You represent that this Agreement is a legal, valid, and binding obligation, enforceable against you per its terms.

17. Confidentiality

You agree to keep WP Engine’s confidential information strictly confidential and not use it for personal or business purposes.

18. Indemnification

You agree to indemnify WP Engine for any claims, losses, or liabilities arising from your site, your participation in the Affiliate Program, or violation of laws.

19. Independent Investigation

You acknowledge that you have independently evaluated the desirability of participating in the Affiliate Program.

20. Coupons

Affiliates may only use authorized WP Engine coupons and may not use terms like “promo code” without adding “noindex” to pages. Violations may lead to immediate termination.

21. Miscellaneous

This Agreement is governed by Texas law. Any disputes must be brought in Travis County courts. WP Engine’s failure to enforce any provision does not constitute a waiver. Any invalid portion of this Agreement will be reformed to maintain enforceability.

This Agreement, along with WP Engine’s Terms of Service, Privacy Policy, and Acceptable Use Policy, constitutes the entire agreement between you and WP Engine. You understand there are no further agreements or representations outside this Agreement.
